Terms of Service

1. Acceptance of Terms

By installing, accessing, or using Spector ("the App"), you ("User," "Merchant," or "you") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not install or use the App.

2. Description of Service

Spector is a Shopify application that provides inventory management, bulk product editing, analytics, and forecasting features. The App integrates with your Shopify store to modify product data, track inventory, and provide business insights.

3. Use at Your Own Risk

You acknowledge and agree that:

• You use Spector entirely at your own risk
• You are solely responsible for any changes made to your Shopify store through the App
• You should always review changes before applying bulk operations
• You are responsible for maintaining your own data backups

4. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AQUARION LABS AND ITS DEVELOPERS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

• Any direct, indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Incorrect product updates, pricing errors, or inventory discrepancies
• Data loss or corruption
• Business interruption or downtime
• Any damages arising from your use or inability to use the App
• Any errors, bugs, or inaccuracies in the App's functionality
• Any unauthorized access to or alteration of your data
• Any third-party conduct or content

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID FOR THE APP IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $50 USD, WHICHEVER IS GREATER.

5. Indemnification

You agree to indemnify, defend, and hold harmless Aquarion Labs, its affiliates, and their respective directors, officers, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the App
• Your violation of these Terms
• Your violation of any rights of another party
• Any content or data you submit through the App

6. No Guarantee of Accuracy

While we strive to provide accurate analytics, forecasting, and inventory data:

• We do not guarantee the accuracy, completeness, or reliability of any information provided by the App
• Forecasting features are estimates only and should not be solely relied upon for business decisions
• You are responsible for verifying all data and recommendations before taking action

7. Data and Privacy

Your use of the App is also governed by our Privacy Policy. By using the App, you consent to the collection and use of information as described in our Privacy Policy.

8. Service Availability

• We do not guarantee uninterrupted or error-free service
• We reserve the right to modify, suspend, or discontinue the App at any time without notice
• We are not liable for any modification, suspension, or discontinuation of the App

9. Subscription and Billing

9.1 Free Trial

• Spector offers a 3-day free trial period beginning when you approve the app charges during installation
• During the free trial, certain features may be limited (e.g., product selection limits or forecasting)
• The trial period cannot be paused, extended, or restarted once initiated
• Development stores receive unlimited access for forecasting for testing purposes

9.2 Automatic Billing

• Upon installation, you will be prompted to approve the subscription charges through Shopify
• If you approve and do not cancel before the trial period ends, your subscription will automatically convert to a paid subscription
• Subscription fees are billed monthly through Shopify's billing system and will appear on your Shopify invoice
• Billing continues automatically each month until you cancel

9.3 Cancellation

You may cancel your subscription at any time by:

• Uninstalling the App from your Shopify Admin (Apps → Spector → Uninstall), OR
• Managing your subscription through Shopify Admin's billing section

Cancellation takes effect at the end of your current billing period. Upon cancellation or uninstallation, you will lose access to premium features.

9.4 No Refunds

9.5 Price Changes

• We reserve the right to modify subscription pricing with at least 30 days' notice
• Price changes will take effect at the start of your next billing cycle after the notice period
• Continued use of the App after a price change constitutes acceptance of the new pricing

9.6 Failed Payments

• If a payment fails, Shopify may retry the charge or suspend your subscription
• We are not responsible for service interruptions due to payment failures

10. Intellectual Property

The App and its original content, features, and functionality are owned by Aquarion Labs and are protected by international copyright, trademark, and other intellectual property laws.

11. Termination

• You may terminate your use of the App at any time by uninstalling it
• We may terminate or suspend your access immediately, without prior notice, for any reason
• Upon termination, your right to use the App will cease immediately

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the applicable jurisdiction, without regard to its conflict of law provisions.

13. Dispute Resolution

Any disputes arising from these Terms or your use of the App shall be resolved through binding arbitration, except where prohibited by law. You waive any right to participate in class action lawsuits.

14. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

15. Changes to Terms

We reserve the right to modify these Terms at any time. Continued use of the App after changes constitutes acceptance of the new Terms.
